We are a leader in cannabis acceptance, accessibility, compliance, quality, and market share. We are looking to add a dynamic Associate Corporate Counsel to join our team!

TGS Management is seeking a local full-time qualified attorney to serve as associate corporate counsel to handle a wide range of complex legal matters and projects under the direction of its General Counsel and executives. You will review and prepare various contracts and agreements, ensure the legality of commercial transactions in various states, and advise the company on its legal rights and duties in the highly-regulated and emerging cannabis industry. As a key component of the Legal Department, you’ll also assist in advising TGS Management on regulatory matters involving state and local laws and regulations. Above all else, a successful candidate is expected to have an appetite to learn and grow in the role, though previous experience with the following legal practice areas is preferred: business and corporate law; contract drafting and review; employment law; intellectual property; and real property transactions.

Essential Duties and Responsibilities

  • Maintain a friendly, courteous and compassionate demeanor at all times
  • Adhere to company mission statement and core values, while maintaining high ethical standards and professionalism
    • Understand the complexity of compliance requirements governing the companies, including the Department of Revenue, Marijuana Enforcement Division, Colorado Department of Public Health and Environment, and the local laws and regulations respecting TGS Management’s and its affiliates’ operations
    • Draft and review internal business documents, commercial contracts, leases, purchase agreements and various other legal documents
    • Create, file and oversee renewal of state entity formation documents and trademarks
    • Negotiate deals and attend company meetings
    • Meet with internal and external parties to review and oversee document execution
      • Communicate effectively and professionally to executives, outside legal counsel, regulators, employees, independent contractors, vendors and customers
      • Develop and revise legal consideration on company policies, positions and procedures
      • Research, anticipate, and guard company against various legal risks
      • Guide personnel regarding legal matters and ensure compliance with various rules and regulations
      • All other administrative tasks and job duties as assigned



  • Juris Doctor (J.D.) from an ABA-accredited law school and an active license to practice law, preferably in the state of Colorado
  • At least one (1) year of full-time experience as corporate/in-house counsel or corporate transactional counsel in a law firm
  • Excellent negotiation and communication skills
  • Analytical ability and strong attention to detail
  • Good organization, time management and task competition skills with the ability to meet strict and short deadlines
  • Ability to handle multiple matters from diverse areas of law
  • Proficient with Adobe Acrobat, Microsoft Word and Microsoft Excel


  • Must maintain current knowledge of and adhere to all policy and regulations of the Colorado Marijuana Enforcement Division (MED); Colorado Department of Public Health and Environment (CDPHE), and Health Insurance Portability and Accountability Act (HIPAA), and TGS Management
  • Excellent knowledge and understanding of corporate law and procedures
  • Full comprehension of the influences of the external environment of a corporation
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Outstanding communication skills
    • Technical skills to include digital file maintenance and handling, uploading, downloading, file conversions, file naming conventions and document storage
    • Familiarity with word processing, design, database, point-of-sales and web-based software applications

Preferred Skills & Experience

  • Ability to task prioritize with shifting workload in a fast-paced office environment and meet deadlines
    • Knowledge of Colorado marijuana laws, MED regulations, and CDPHE requirements; Previous marijuana industry experience preferred with priority given to candidates with experience in CO licensed facilities
    • Knowledge of advanced Microsoft Office features
